Anthropic filed its registration statement on Form S-1 with the US Securities and Exchange Commission today, formally starting a proposed initial public offering. The company behind Claude plans to list its Class A common stock on the Nasdaq Global Select Market under the ticker symbol ANT. The number of shares on offer and the price range have not yet been determined, and the registration statement has not yet become effective.

The prospectus shows the scale of the business. Revenue climbed 1,304% to $16.29 billion in the six months ended 30 June, up from $1.16 billion a year earlier, while the company reported a net loss of $80.7 billion for the same period. Anthropic also disclosed more than 90 pages of risk factors, including state and local moratoriums on new data center construction, which the filing says could hold back the compute buildout its models depend on.

Control stays with the founders. Dario and Daniela Amodei, together with Anthropic's five other co-founders, will be the sole members of Founder LLC, which will hold 50.1% of the voting power of outstanding shares. Amazon has separately agreed to provide up to $15 billion in financing, available in $5 billion tranches tied to compute capacity milestones. Google holds an option to buy up to $10 billion in Class N common stock at the IPO price. Goldman Sachs and Morgan Stanley lead the offering.
